There were no apologies presented for this meeting.

2. Minutes of the Previous Meeting
The minutes of the previous AGM held on Monday 3rd April 2006 in Darwin College at the University of Kent at Canterbury were accepted as a true record.

3. Matters Arising
No matters were arising from the minutes of the previous meeting.

4. Reports from the Honorary Officers
The Honorary Officers presented their reports and noted in particular:
a. Report from the President
b. Report from the Treasurer
An overall loss was made by the Society in the 2005-2006 financial year. This was due mainly to a number of large deposits made by the Society for 2007 and 2008 venue hire. In addition the 2006 Main Meeting made a larger than expected loss due to small delegate attendance. The reasons for this are being investigated by the Society.

6. Election of New Officers to the Society
M Watson proposed and K Lindsey seconded, that all nominations for new Honorary Officers be accepted. This was agreed. Those elected were Ian Johnston (President), Pat Heslop-Harrison (Vice President) and Mathis Riehle (Cell Section Secretary).

7. Special Resolution - Changes in Society Governance
The Special Resolution covered proposed changes to the Governance of the Society. The changes cover the abolition of the current Management Committee, a streamlining of the Council by reducing membership, introducing more independent membership of the Council and the instituting of a Meetings Committee.

The Special Resolution was proposed by I Johnston and was voted in favour by all members present after the following discussion items:

The floor was assured that Officer travel expenses are not expected to increase after the change in governance.

An example of the responsibilities that would be delegated to the Southampton Office would be the formulation of a membership flyer when required which would then be agreed by a member of Council rather than having to go through multiple committees until a decision is reached.

The floor was assured that the SEB would continue to support post graduate members to the utmost of its ability.

With the addition of independent members onto Council the Society would try to encourage at least one of these to be an Early Career Scientist.
