REVISED TIMETABLE TRUSTEE ELECTIONS 2020

Dear Members,

In April 2020 we started the annual election process to appoint new Trustees.

This year we are seeking to appoint the following Trustee positions:

·      Animal Section Chair

·      Plant Section Chair

·      Cell Section Chair

·      Outreach, Education and Diversity Trustee

and seek approval to extend the appointment of the Publications Officer for a third term.

Unfortunately, we recently found out that an overly strict GDPR application on our membership data resulted in over 50% of members not receiving the first of a set of emails to the membership on Trustee elections where Trustee nominations were sought.

We sincerely apologise for this error; we have since taken advice from a GDPR consultant and have revised the permissions (whilst maintaining compliance) to ensure that we can contact all members (except those who have specifically declined to receive such emails).

The SEB Council has considered this matter and have agreed that to be fully transparent and further enhance membership engagement we will open the nominations process again for a period of 2 weeks, from 1st to 15th July 2020 [1]

We are in the fortunate position of having nominations for all four Trustee positions:

·  David Evans as Cell Section Chair Trustee

·  Stefan Kepinski as Plant Section Chair Trustee

·  Shaun Killen as Animal Section Chair Trustee

·  Sheila Amici-Dargan as Outreach Education and Diversity Trustee

and we very much hope you will support their nomination.

If you would like to nominate yourself or someone you know for any of the positions please complete the Trustee application form attached and email to elections@sebiology.org by Wednesday 15th July 2020.

An election process will be instigated if more than one nomination is received for any of the positions. If only one nomination is received for any of the above positions, then that candidate will be offered for formal election to the Council unopposed.

A Special Meeting of the Membership will be held in late August/early September 2020 to seek the approval of the membership of the related resolutions on Trustee appointments.

With very many thanks to the members who provided proxy votes on the resolutions that would have been voted on at the Special Meeting scheduled for Tuesday 30th September, this meeting has been postponed, we will contact you separately to determine how you wish to handle your votes going forward.

ELECTION PROCESS 2020

About the Council:

The SEB Council serves as the Trustee Board for the Society. The SEB is both a charity and a company limited by guarantee.  As a member of Council you will be a trustee of the charity and a director of the company.

 

Eligibility of candidates:

A candidate for election to Council must be a member of the Society in the Student, Early Career, Scientist, Full or Retired Class of membership and a natural person aged 16 years or older. 

Candidates will not be eligible for election if he or she would be disqualified for any of the following reasons:

2.1     he/she is subject to a bankruptcy order or interim order or he/she has made any arrangement or composition with his creditors;

2.2    he/she is suffering from mental disorder;

2.3    he/she  is disqualified from acting as a trustee under any statute or is prohibited by law from holding office;

2.4    he/she is directly or indirectly interested in any proposed or actual transaction or arrangement with the Society and fails to declare the nature and extent of his interest as required by section 177 of the Companies Act 2006

As a Trustee you will be expected to declare all and any conflicts of interest and complete the Charity Commission for England & wales Trustee Eligibility Declaration.


Eligibility to nominate:

All members of the Society are eligible to nominate individuals for all vacant Council positions.

 

Eligibility to vote

All members of the Society are eligible to vote in any elections arising in the appointment of the Trustees (for the vacancies arising in 2020.)



[1] It should be noted that this is extraordinary to the requirements of the Articles of Association that direct that at a minimum we must post notices on our website; on this occasion considerable efforts were undertaken to promote the nomination process on the website and other social media platforms as well as by email correspondence.
